For all services provided by Dot Image a development agreement should be executed.   In some cases services will be provided without prior execution of a development agreement and in those cases the following terms apply.  Any client of Dot Image, by requesting services in lieu of an executed development agreement, implicitly agrees to the following terms:

Ownership and Intellectual Property

• Dot Image is an independent contractor performing work for hire service under the Copyright Act.
• All screens, graphics, domain names, content and the look-and-feel of the web site developed shall be owned solely by Dot Image, together with all underlying software, object code, digital programming, source code and the like.
• Dot Image retains rights to use any materials or software it gains from its creation of the web site.
• Dot Image, in developing the site, will not infringe or violate the copyright and other intellectual property rights of third parties.
• If Dot Image bundles or uses any prior intellectual property that it owns it will retain ownership and grants Customer a perpetual, irrevocable, worldwide royalty-free transferable license to the same.

Indemnification

• Client shall indemnify, defend and hold harmless Dot Image, its directors, officers, employees and agents with respect to any claim, demand, cause of action, debt, or liability, including reasonable attorneys' fees.

Limitation of Liability

• Dot Image shall not be liable for indirect, incidental, consequential, special or exemplary damages, even if it has been advised of the possibility of such damages.

Miscellaneous

• These terms of service comprise the complete agreement between Dot Image and any Customer for which services have been performed in lieu of an executed website development agreement.
• These terms of service can only be amended in writing.
